The companies will swap a 4.9% interest in each other, allowing for Artivision to take a stake in 212Db and its Play Gig-it platform. Artivision will also license to 212Db their companies’ video advertising and facial recognition technology which will allow Artivision a new platform for cross promotion and the acquisition of new users. 212Db will receive a 4.9% stake in Artivision as well as a License agreement to Artivision of its Facebook Game Play Gig-it and other new projects in development for Asia. Artivision’s license will allow it to promote and expand the Play Gig-it platform into all of Asia. The transaction between the two companies values both Artivision and 212Db at a 100 million dollar valuation.

212Db will grant Artivision an exclusive license to its video library and its online social media platform Play Gig-It, the world’s first 3D concert game created for Facebook that brings together social media, music, fashion and gaming. With the rights to market 212Db in The People’s Republic of China, Republic of Korea and Southeast Asia, Artivision will assist 212Db in seeking artists to add to the platform [Play Gig-It] as well as assist in seeking additional platforms in Asia that will offer 212Db’s games and technologies to the user base of such platforms.
212Db’s initial content and game platform offering, Play Gig-it is changing the way music lovers interact with Facebook, giving members a new way to purchase and download music while providing a new revenue stream for affiliated artists. Players create a fully customizable 3D concert with music either uploaded from a personal playlist or downloaded directly from the Play Gig-It cloud, which they then post, share, and invite friends and fans to become spectators of. The customization includes choosing the concert venue, music, sponsors, opening acts, wardrobes, stage lighting and backup dancers. 212Db intends on launching at the end of January a new platform that the current game as well as other games will reside on. The new platform will allow for 212Db to expand its existing music and artist based platform worldwide, capture a new audience of users as well as allow developers access to its API.
